“CMC” as used throughout these Terms & Conditions, refers to Carrier Mausoleums Construction Inc. or Carrier Mausoleums Construction U.S.A., Inc. The following provisions apply to all sales of finished bronze products and other products to Buyer by CMC (“Seller”).

Pricing

Prices quoted are valid for a period of sixty (60) days from original date of final proposal. Prices are based upon existing conditions inthe marketplace, material, and labor costs.
CMC reserves the right to adjust prices without prior notice if market conditions change.

Minimal Order Amount
Minimal orders of $500. A surcharge of 25% will be applicable to all orders less than $500.
For Lettering: Minimal order of 25 characters of same letter. A surcharge of 25% will be applicable to all lettering orders under 25 characters of same letter.

Volume Discounts
Discounts apply only to the published price list. Please contact your CMC Client Representative for details:

10% discount on standard Font Package (composed of 300 Letters & Numerals); Other Bronze Products (emblems and vases);
10% discount when ordering 50 units or more of same item.

Payment Terms
If CMC extends credit, payment terms shall be net thirty (30) days after CMC’s invoice date. Ask your CMC Client Representative for credit approval forms. If the products are delivered in installments, Buyer shall pay for each installment in accordance with the stated payment terms. If credit is not extended, payment is due in full at the time of order.
Buyer agrees that all past due sums shall accrue interest at the rate of two percent (2%) per month. Should CMC initiate legal action to collect any sums due, Buyer agrees to pay all costs of collection including CMC’s attorney fees. CMC may at any time, alter or suspend credit, refuse to ship products and/or cancel unfilled or partially filled orders if, in its opinion, the financial condition of the customer or the status of its account warrants such action.

Taxes
Prices do not include applicable taxes. Buyer is solely responsible for paying all applicable taxes. CMC will add sales taxes to the sales price where required by applicable law, and Buyer will pay such taxes unless Buyer provides CMC with a duly executed sales tax exemption certificate. Please submit exemption certificate prior to placing first order so that CMC can accurately invoice.

Force Majeure
All delivery schedules are estimated and could be subject to delay by any force majeure event.

Shipment & Freight
Shipping dates are approximate and order delivery cannot be guaranteed for a specific date or time. All orders are FOB CMC CANADA– Montréal (unless stated otherwise); applicable freight charges will be invoiced. For freight estimates, please contact your CMC Client Representative.

Loss, Damage or Shortage
CMC exercises the utmost care when packaging and shipping products in a manner to prevent damage or destruction in transit.
Any visible damage or lost package noticed at the time of delivery must be communicated to CMC immediately. No claim will be accepted if done more than fourteen (14) days after receipt of delivery.

Product Return
CMC reserves the right to review and determine if and when a product is eligible for return. A handling and restocking charge of 15% will be applicable to any unauthorized returned material. Authorization for the return of material more than ninety (90) days old must be reviewed on a case-by-case basis. Terms and conditions for the return of any authorized material will be issued at the time of approval. A copy of the original invoice must accompany the return. A special order (custom made product and statuaries) cannot be returned unless defective. Product must be returned in original packaging and condition to avoid additional charges.

Defective Product
CMC reserves the right to replace, repair, or authorize the return of any material that does not meet CMC standards and manufacturing practices. The customer shall make notification of any such defect in writing to CMC within fourteen (14) days of shipment by CMC. CMC will not provide credit or exchange for any material until it has inspected the product and deemed it defective. CMC will only be responsible for the value of the defective product and for any freight charges to replace such product. CMC’s liability will not include, in any event, consequential damages.

Cancellation
All product order cancellations for products not yet shipped, must be approved by CMC. Cancelled orders may be subject to restocking and/or other fees.

Limitation of Liability
In no event shall CMC be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages, even if informed of the possibility of such damages, whether as a result of breach of contract, warranty, tort (including negligence), strict liability or any other theory, including without limitation, labor charges, loss of time, profits or revenues, lack or loss of productivity, interest charges or cost of capital, cost of substitute products, downtime costs, damage to or loss of use of products or any related equipment, system or facility, or any property to which any product is affixed, or any inconvenience.
